Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Ladybugz Academy website (the "Site"), operated by Ladybugz Bookstore LLC, doing business as Ladybugz Academy ("Ladybugz Academy," "we," "us," or "our"), including the free Mini eBook, the Launch Readiness Scorecard, free Discovery Calls, and paid Strategy Sessions described on the Site.

1. Acceptance of These Terms

By accessing or using the Site, downloading the Mini eBook, using the Scorecard, or booking a Discovery Call or Strategy Session, you agree to these Terms. If you do not agree, please do not use the Site or its services.

2. Who May Use This Site

The Site is intended for business owners and other adults capable of forming a binding agreement. By using the Site, you represent that you meet this requirement.

3. Educational Purpose of Content

All content on the Site — including the Mini eBook, articles, worksheets, the Scorecard, Discovery Calls, and Strategy Sessions — is educational and informational in nature. See our Educational Disclaimer for the full scope of what this content is, and is not.

4. Prohibited Conduct

When using the Site, you agree not to:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • scrape, copy, or systematically extract content from the Site by automated means;
  • resell, publicly redistribute, or republish the Mini eBook, Scorecard content, worksheets, or other materials, except as permitted under our Copyright and Intellectual Property Policy;
  • impersonate any person or misrepresent your affiliation with Ladybugz Academy;
  • interfere with or attempt to disrupt the security or normal operation of the Site or the third-party tools it links to; or
  • attempt to reverse engineer, probe, or circumvent the scheduling or payment systems used in connection with the Site.

5. Free Resources: Mini eBook and Scorecard

We grant you a limited, non-exclusive, non-transferable license to use the Mini eBook and the Launch Readiness Scorecard for your own personal or internal business use, subject to our Copyright and Intellectual Property Policy. You may not resell, publicly redistribute, or republish these materials.

6. Discovery Calls and Strategy Sessions

Free Discovery Calls and paid Strategy Sessions are scheduled using a scheduling provider. We currently use Acuity Scheduling for this purpose. We may change scheduling providers in the future, and this reference will be updated when appropriate. Payment for Strategy Sessions is collected through a GoDaddy payment link. Cancellation, rescheduling, no-show, and refund terms for these sessions are set out in our Refund and Cancellation Policy, which is incorporated into these Terms by reference.

7. Third-Party Links and Services

The Site links to, and relies on, third-party services, including our scheduling provider (currently Acuity Scheduling), a GoDaddy payment link, and the technology platform supporting the Launch Readiness Scorecard. We do not control these third-party services and are not responsible for their content, availability, security, or practices. Your use of any third-party service is governed by that provider's own terms and policies.

8. Intellectual Property Ownership

Ladybugz Bookstore LLC owns its original content — including the Mini eBook, original articles, worksheets, videos, graphics, and training materials, and its original contributions to any completed designs. The Site also uses third-party materials and platform technology under license from their respective owners; those elements are not owned by Ladybugz Bookstore LLC. 9. Disclaimer of Warranties

The Site and its content, the Mini eBook, the Scorecard, Discovery Calls, and Strategy Sessions are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are limited or prohibited by applicable law. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any particular business outcome will result from using our content or services.

10. Limitation of Liability

To the fullest extent permitted by Indiana law, Ladybugz Bookstore LLC's total liability arising out of or relating to your use of the Site, the Mini eBook, the Scorecard, a Discovery Call, or a Strategy Session shall not exceed the amount, if any, that you paid to Ladybugz Bookstore LLC for the specific service giving rise to the claim. In no event will Ladybugz Bookstore LLC be liable for indirect, incidental, consequential, special, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Ladybugz Bookstore LLC, and its owner, from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your violation of these Terms or your misuse of the Site.

12. Suspension or Termination of Access

We may suspend or terminate your access to the Site or its services if we reasonably believe you have violated these Terms. Free Discovery Call access may also be limited as described in our Refund and Cancellation Policy.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms, the Site, or our services that is not resolved informally may be brought in the state or federal courts located in Hamilton County, Indiana, and you consent to the jurisdiction of those courts. These Terms do not require arbitration.

14. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of this page reflects the date of the most recent revision. Continued use of the Site after an update constitutes acceptance of the revised Terms.
